Work Product
Unless otherwise agreed in writing, custom software, applications, and solutions developed by Cloudient for clients shall be owned by the client upon full payment. Pre-existing Cloudient intellectual property and general methodologies remain our property.
Payment Terms
Payment terms are specified in individual service agreements or statements of work. General terms include:
- Payments are due according to the agreed schedule
- Late payments may incur additional fees
- All fees are non-refundable unless otherwise stated
- Prices are subject to change with notice
Disputes
Any billing disputes must be reported within 30 days of the invoice date. We will work in good faith to resolve any legitimate disputes.
Confidentiality and Data Protection
We understand the sensitive nature of business information and are committed to protecting your confidential data. Our confidentiality obligations include:

Effect of Termination

- Outstanding payments become due immediately
- Confidentiality obligations continue

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.
Dispute Resolution Process
Any disputes arising from these Terms or our services shall be resolved through:

Court proceedings may only be initiated for injunctive relief or intellectual property disputes.
General Provisions
Entire Agreement
These Terms, together with any applicable service agreements and our Privacy Policy, constitute the entire agreement between you and Cloudient.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
No Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
